Statute and General Assembly

ABVCAP's Bylaws establish the legal and organizational guidelines governing its activities as a non-profit association dedicated to fostering long-term investment in Brazil. Structured to ensure transparency, governance, representation, and a commitment to best practices, the document formalizes the principles, objectives, rights, and responsibilities of its members, as well as the organization's governance structure and mechanisms for engaging with society and the market.

The General Assembly is the Association’s highest governing body.

The General Assembly, composed of the community of members, has the following responsibilities: to deliberate on the representativeness and scope of the Association; to define the rules for membership and dismissal of members; to elect, approve or dismiss members of the Deliberative and Fiscal Councils; to decide on the application of penalties to members; to approve the Association's accounts annually; and to deliberate on the entity's future.

Deliberative Council

The Deliberative Council is the permanent operating body responsible for the strategic direction of ABVCAP, composed of twelve members, associates of ABVCAP, for a term of 3 (three) years.

At least six members must be representatives of Managing Associates and a maximum of six may be representatives of other ABVCAP membership categories.

The Deliberative Council has nine members elected by the General Assembly and three members appointed by the majority of the members of the Deliberative Council, with the support of the Nomination Committee.

Advisory Board

The Advisory Board is a non-permanent advisory and consultative body of ABVCAP, established by the Deliberative Council, focused on providing strategic support and advice. It may include up to 12 invited external members with notable capital markets expertise, appointed by the Deliberative Council for three-year terms.

Former presidents of the Deliberative Council also form part of the Advisory Council as lifetime members, provided they do not hold other governance positions at ABVCAP.

Its members can propose measures of interest to the association, suggest projects, programs, and methodologies, and provide opinions on topics submitted by the Deliberative Council, contributing to the organization's guidelines and strategic planning. Their opinions and proposals, however, are not binding.

Committees

The Committees act as advisory bodies to the Deliberative Council, issuing non-binding recommendations that must be accompanied by analyses justifying their proposals. Only with the Council's approval can the Committees represent ABVCAP or deliberate on operational and administrative matters. Each Committee must have up to five Coordinators, including one Lead Coordinator, and a Sponsor chosen from among the council members, responsible for reporting to the Council.

The Sustainability Committee's objective is to produce knowledge on the topic for stakeholders, aiming to permeate the entire investment cycle of managers and investors; self-regulation; broadening the debate and building an agenda in partnership with other financial market institutions, in addition to increasing the scope and relevance of the Sustainable Investment Forum (FIS), as a center for these debates and promoting a deep and strategic reflection on the role of the alternative assets industry in global economic and social development.

The purpose of the Regulatory Committee is to monitor regulatory and legislative changes that may impact the alternative investment industry in Brazil and its stakeholders, proposing improvements deemed necessary in line with best practices and, whenever possible, following international benchmarks. This committee works alongside all of the Association's sectoral committees to analyze proposed standard revisions. Together with the Deliberative Council, the CER serves as an intermediary between ABVCAP and public and regulatory agencies for industry requests.

The objective of the Events and Educational Committee is to map the main training demands of stakeholders in the alternative assets ecosystem, as well as to organize training, workshops, events and missions capable of enhancing networking opportunities and relationships between ABVCAP members and non-members and promoting the improvement of those who work or want to work in the alternative assets industry, in general, sharing the best operational practices, through reference cases of this industry.

The Private Equity Committee brings together managers to discuss issues related to investment operations in already established companies with great potential for growth and consolidation, and to propose regulatory changes that favor the development of these activities in Brazil, as well as attract local and global capital to these companies, in addition to offering exit opportunities and legal security to investors, capable of increasing the attractiveness of these investments.

Piero Minardi has been a Senior Advisor at Warburg Pincus since 2023, after serving as the firm's Managing Partner from 2014 to 2022. With over 20 years of experience in Private Equity, he also worked at Gávea Investimentos, Darby Overseas, Baring, AIG Capital Partners, Bunge, Banco Pactual, McKinsey, and Accenture. He served as a director on the boards of 20 companies and was a member of the EMPEA Board (2011–2015), where he was the only Latin American representative. A Mining Engineer from USP and an MBA from INSEAD, he has participated in the fundraising and investment of over USD 8 billion in more than 50 companies in Brazil.

Francisco is a founding partner of Lions Trust, the first Brazilian fund manager focused on Private Equity and Venture Capital. With over 20 years of experience in the financial and capital markets, he is authorized by the CVM as a portfolio manager and has structured or managed over 100 FIPs. He is currently Vice-Chairman of the Deliberative Council of ABVCAP and serves on the boards of Anbima, Abrapp, and CNF.

Luiz Eugenio is an Alternative Investment Manager at Bradesco Asset, Vice-Chairman of the ABVCAP Deliberative Council, and Coordinator of the Regulatory Committee. He has worked at PriceWaterhouseCoopers, Unibanco, Banco Pactual, Rio Bravo Investimentos, and BNP Paribas Asset. He holds a bachelor's degree in economics from FAAP and completed his postgraduate degree in Economics at MIT Sloan.

Marina has been a partner at Mattos Filho Advogados for 10 years, specializing in cross-border transactions, including private equity, joint ventures, financing, and securitization. She advises investors and financial institutions on structuring investment vehicles and transactions involving various assets. She was recognized by Latin Lawyer in 2013 as one of the most inspiring women in Latin America and supports social enterprises through pro bono work with Muhammad Yunus.

Pedro Sirotsky Melzer is a founding partner of Igah Ventures and a partner at Pátria, the largest alternative investment platform in Latin America. A pioneer of venture capital in Brazil, he has been active in the sector since 2010 and has invested in over 50 companies, including iFood, Unico, Conexa Saúde, and Avenue. Previously, he was Global Revenue Manager at Apple in Cupertino. He holds an MBA from Kellogg and is passionate about supporting entrepreneurs who use technology to improve lives and generate efficiency.

A partner at Treecorp Investimentos since 2012, he works in private equity with a focus on growth capital in the consumer, healthcare, technology, and services sectors. He is chairman of the board of Cabana Burger and an observer on the board of Petz, in addition to having served on the boards of Innova and MC1. A CVM-authorized manager and CFA charterholder, he previously worked at Vella Pugliese Advogados in M&A, funds, and corporate reorganizations. He holds a law degree from UEPG, a postgraduate degree in Finance from FIA-USP, and a postgraduate degree in Tax and Corporate Law from the Curitiba Law School.

A partner at SPX since 2021, he has 28 years of experience in private equity, participating in 35 deals and investing US$3.5 billion. He was Managing Director and Head of the Carlyle South America Buyout (2007–2021), in addition to working at AIG Capital Partners and Bozano, Simonsen. He chaired ABVCAP from 2014 to 2018 and has been a member of its Board since 2012. He holds a bachelor's degree in International Relations from UnB and a master's degree from Johns Hopkins University.

A partner at Riverwood Capital since 2011, he invests in Brazil and Latin America. He serves on boards such as Amigotech, CRMBonus, Dock, Intelipost, Pet Love, and Pixeon, and is an observer advisor at Cortex, Omie, and Sensedia. He has served on the boards of Mandic, RD Station, and Synapsis. Previously, he worked for seven years at IFC, focusing on technology, manufacturing, and services, and also worked at Brasil Telecom and Citibank. He holds a degree in Business Administration from UFPE and a Master's in Finance from City, University of London, as a Chevening Scholar.

Jorge Lange joined KKR in 2024 and is a member of the Global Client Solutions team. Previously, Jorge was a partner at XP Inc. and head of alternative funds in the asset management group. Prior to that, he worked for over a decade as a senior executive at private equity firms, including Graycliff Partners and Partners Group. He began his career at Banco Itaú as an economist in 2003. Jorge holds a degree in Economics from the University of São Paulo and an MBA from London Business School.

Cristina is Managing Director and Head of Brazil at Blue Like an Orange Sustainable Capital, with over 20 years of experience in finance, including alternative investments, investment banking, and the corporate market. She served as Partner and Head of Private Equity at STS GAEA Capital, Mezzanine Director at Credit Suisse, and led private equity and venture capital in Brazil at Darby. She also worked at Morgan Stanley in New York and at the Bunge Group. She holds a bachelor's degree in Business Administration from FGV (FGV), a bachelor's degree in Biological Sciences from USP (São Paulo State University), and an MBA from the University of Chicago Booth.

Rafael is a founding partner of Spectra, where he has worked since the firm's inception. The firm currently manages approximately R$14,000 billion in alternative assets. He led initiatives such as the nationalization of search funds in Brazil, the structuring of secondary acquisitions, and the creation of the largest database on alternative assets in Latin America, in partnership with Insper and ABVCAP. He serves on various strategies and portfolio advisory boards and is a member of the ABVCAP Board (2023–2026). He holds a degree in civil engineering from Poli-USP.
